Area of expertise/speciality:
David is the Head of the Company Commercial Department. He is an experienced lawyer with a client base ranging from small business start ups to public limited companies.p>
David has advised on many acquisitions and disposals of companies and businesses (ranging in valuation from £250,000 to £30million), joint ventures, investment, LLP and Shareholder Agreements, fundraisings (both on public markets and privately).
In addition to working in private practice, David has also spent time working in industry and has served as a Non-Executive Director, Legal Counsel and Company Secretary for two AIM listed companies. David is therefore particularly well equipped to advise on corporate governance issues and company secretarial matters. In particular, David often advises directors (both executive and non-executive) on their fiduciary duties.
The Department advises its clients on a wide range of commercial agreements, particularly distribution, agency, franchise and licence agreements and terms of business. The Department also has a sports law division and advises on sports sponsorship deals.
David is a member of the Advisory Board at Bangor University Business School (ranked first in the UK University sector for Business, Accounting and Finance). David also serves as the legal advisor to Swansea City FC Supporters Trust.

- Advising two substantial franchisees in relation to new franchising agreements with one of the world’s largest contract cleaning operations.
- Negotiating a complex structured disposal with earn-out arrangements for a large privately owned catering business.
- Advising the Board of an SMS based gambling organisation on fundraising requirements and admission to PLUS.
- Advising Swansea City FC on its shirt sponsorship deal with 32Red Plc.
- Advising a US owned sports sponsorship agency on its new UK operation and joint venture with a large London based marketing agency in preparation for the 2012 Olympics.
- Acting on the establishment of a privately financed football academy in the UK.
Other Interests:
David is a passionate sports fan, in particular, football, cricket and rugby. In his spare time, David is an avid follower of Swansea City FC and the Ospreys and Welsh rugby teams. David manages a local under 10’s football team and is a qualified football referee.
David also enjoys food and wine and is a member of CAMRA. He has two children and lives in Teddington.
